The plan is required to satisfy the affirmative defense provided by Rule 10b5-1 under the Securities Exchange Act of 1934, as amended. The plan was adopted in accordance with the Company’s insider trading policy. Under the plan, purchases will be executed only if and when the purchase price is no more than US$2.85 per American Depositary Share, among other conditions.
