Members of record of the Company’s ordinary shares, par value $0.0001 per share, registered on the Company’s Register of Members as of 5:00 p.m. on March 7, 2025 (Eastern time) are entitled to attend and vote at the AGM in person or by proxy. The Company proposed to amend and restate the Company’s second amended and restated memorandum and articles of association by their deletion in their entirety and the substitution in their place of the third amended and restated memorandum and articles of association (the "Amended M&A"). Following the adoption of the Amended M&A, the Company may send notice to its shareholders by publishing that notice in the Company’s website at [www.metalpha.net/](http://www.metalpha.net/) and the SEC website at [www.sec.gov](http://www.sec.gov).
